Ondas to Buy Cyberhawk in $125 Million Mixed-Structure Deal
The acquisition extends Ondas's autonomous-intelligence platform into critical-infrastructure markets spanning utilities and energy networks.
Ondas Inc. (ONDS) agreed to acquire Cyberhawk in a mixed cash-and-stock transaction valued at $125 million, the company said. The deal is expected to close in the third quarter of 2026.
The acquisition is designed to propel Ondas into expanding industrial infrastructure markets, advancing its strategy to build a category-defining autonomous intelligence platform across defense, security and critical infrastructure sectors. By combining Cyberhawk's infrastructure intelligence platform, proprietary data assets, AI-enabled analytics and cloud-based iHawk software with Ondas' autonomous systems, mission automation technologies and sensing capabilities, the combined entity aims to address what the company sees as a large and growing opportunity for integrated autonomous solutions.
"Cyberhawk is a market leader in critical infrastructure intelligence and represents a transformative addition to Ondas," said Eric Brock, Chairman and CEO of Ondas. "The company has built a highly differentiated platform combining software, data, AI-enabled analytics and deep domain expertise across some of the world's most important utility and energy networks. We believe critical infrastructure resilience, energy security and industrial continuity are increasingly national security priorities, creating a large and growing opportunity for integrated autonomous intelligence solutions."
Cyberhawk brings a suite of infrastructure inspection and data-analytics capabilities that complement Ondas' existing portfolio of AI-powered defense and security platforms deployed globally to protect sensitive sites, populations and critical infrastructure. The target's cloud-based iHawk software and proprietary data assets are expected to extend Ondas' reach from military and homeland security applications into the utility and energy networks that underpin industrial continuity.
The Cyberhawk deal continues an active acquisition campaign at Ondas. Earlier in 2026, the company completed its purchase of Mistral Inc., a U.S. Department of Defense prime contractor and manufacturer of advanced autonomous solutions, a transaction intended to expand Ondas' U.S. defense footprint and transition the company from standalone system deployments to structured participation in multi-year contract vehicles. In February 2026, Ondas acquired Rotron Aero, a UK-based developer of loitering munitions, in a cash-and-stock deal that added long-range autonomous strike capabilities to the Ondas Autonomous Systems portfolio. Together, the acquisitions reflect a deliberate strategy to assemble a system-of-systems architecture spanning aerial, ground, counter-UAS and now critical-infrastructure intelligence.
The transaction is subject to customary closing conditions. Ondas did not disclose expected accretion or specific integration synergies in the announcement. The company has previously outlined a Core + Strategic Growth Program that pairs organic revenue expansion with targeted acquisitions, supported by a fortified capital position that included over $67 million in cash as of mid-2025.
