Booz Allen to Buy Ultra Mission Solutions in $720 Million All-Cash Deal
Acquisition aims to accelerate delivery of defense tech products into national security missions with mission-critical software and encryption.
**Booz Allen Hamilton Holding (BAH) agreed to acquire Ultra I&C Mission Solutions business (Ultra Mission Solutions) in a $720 million all-cash transaction**, the company said Sunday. The deal would integrate Ultra Mission Solutions’ mission-critical software, encryption, and edge-compute products into Booz Allen’s portfolio to enhance technology solutions for U.S. national security missions.
The transaction is expected to close in the second quarter of Booz Allen’s fiscal year 2027, ending September 30, 2026, and remains subject to customary closing conditions. No exchange ratio or premium was disclosed in the announcement.
Booz Allen said the acquisition would unlock operational utility on the battlefield at greater speed and scale by combining Ultra Mission Solutions’ capabilities with its own defense technology portfolio. “Technological superiority is essential to U.S. national security, and maintaining our advantage requires a relentless focus on speed and outcomes,” said Horacio Rozanski, Chairman and CEO of Booz Allen. “Booz Allen is strategically investing to accelerate delivery of our defense tech products into national security missions. Ultra Mission Solutions provides mission-critical software, encryption, and edge-compute technologies tailored for defense and intelligence applications. Its products are designed to support real-time decision-making and secure communications in contested environments, aligning with Booz Allen’s focus on delivering integrated technology solutions to U.S. government customers.
The deal follows a wave of consolidation in the defense technology sector as contractors seek to expand their capabilities in software-defined systems and artificial intelligence. In October 2025, Science Applications International Corp. (SAIC) acquired SilverEdge Government Solutions for $205 million in cash to bolster its portfolio of mission-driven technology solutions, including generative AI and data analytics. Earlier this year, Ondas Inc. completed its merger with Mistral Inc., a U.S.-based defense prime contractor, in a $175 million deal that expanded Ondas’ direct prime participation across U.S. Department of Defense programs.
The acquisition of Ultra Mission Solutions is expected to strengthen Booz Allen’s position in delivering commercial-grade technology solutions to national security customers, though the company did not disclose specific accretion or synergy targets. The transaction remains subject to regulatory approvals and customary closing conditions.
