Gary Friedman reduces RH stake

The RH executive sold shares to fund personal residence improvements and debt repayment.

Gary Friedman has reduced his ownership in RH following a series of share sales and an increase in the company's total outstanding shares.

Friedman sold 125,000 shares between July 6 and July 8, 2026. He used the proceeds to fund improvements to personal residences and to repay balances under personal line of credit borrowings.

These sales coincided with a rise in the total shares outstanding at RH, which reached 18,926,221 by July 8. The combination of the divestment and the expanded share base lowered Friedman's beneficial ownership to 23.88%.

"The undersigned understands that the aggregate number of shares of Common Stock outstanding as of July 8, 2026 had increased to the point that, together with the sales of Common Stock by the undersigned from July 6, 2026 through July 8, 2026, there has been a decrease in the undersigned's beneficial ownership of Common Stock that is greater than 1.0% from the amount reported in Amendment No. 10 and that, as a result of such change in beneficial ownership, this Amendment No. 11 is being filed on July 8, 2026."
